THIS LICENSE AGREEMENT (the “Agreement”) is made effective as of the date of purchase (the “Effective Date”) by and between EXY COOL BEATS (hereinafter referred to as the “Licensor”) and the individual or entity purchasing the license (hereinafter referred to as the “Licensee”).

1. GRANT OF LICENSE

1.1 The Licensor hereby grants to the Licensee a non-exclusive, non-transferable, and limited right to use the musical composition titled as the purchased Beat (the “Beat”) to create one (1) new musical work (the “New Song“).

1.2 The Licensee may record their own vocals, lyrics, and melodies over the Beat.

1.3 This license is granted for a term of five (5) years beginning on the Effective Date. Upon expiration, the Licensee must renew the license or cease all commercial distribution of the New Song.

2. USAGE AND DISTRIBUTION LIMITS

2.1 Audio Streaming: The Licensee is permitted to distribute the New Song to Digital Service Providers (DSPs), such as Spotify, Apple Music, Amazon Music, and similar services, for up to 500,000 (Five Hundred Thousand) monetized streams.

2.2 Video Distribution: The Licensee is authorized to produce and release one (1) official music video synchronized with the New Song.

2.3 Social Media Views: The Licensee is permitted to accumulate up to 500,000 (Five Hundred Thousand) combined views across YouTube, TikTok, Facebook, and Instagram.

2.4 Performance Rights:The Licensee is granted the right to perform the New Song in for-profit live performances and radio broadcasts

3. OWNERSHIP AND INTELLECTUAL PROPERTY

3.1 Master Ownership: The Licensor (EXY COOL BEATS) retains 100% full ownership, copyright, and title in and to the original Beat. This Agreement does not constitute a sale of the Beat.

3.2 Content ID Registration Prohibited: The Licensee is STRICTLY PROHIBITED from registering the Beat or the New Song with any Content Identification System (including but not limited to YouTube Content ID, Facebook Rights Manager, or Shazam). Violation of this clause constitutes a material breach and will result in immediate termination of this license.

3.3 Portfolio Preservation:The Licensor reserves the exclusive right to maintain and promote the original version of the Beat on the Licensor’s official social media channels, including YouTube, for portfolio and promotional purposes.

4. CREDIT AND METADATA REQUIREMENTS

4.1 Backend Distribution (Metadata): When distributing the New Song via digital distributors (e.g., DistroKid, TuneCore), the Licensee MUST register the official name “EXY COOL BEATS” in the designated fields for Producer and Composer.

4.2 Public Display (Credit): For all public displays, including song titles, video descriptions, and social media posts, the Licensee MUST provide credit to the Licensor as: “Produced by EXY COOL BEATS (Prod. by EXY)”

4.3 Failure to provide proper credit as defined in Sections 4.1 and 4.2 shall be considered a violation of the Agreement.

5. REVENUE SHARING AND PUBLISHING

5.1 Streaming Revenue: All net revenue generated from audio streaming shall be split 50% to the Licensor and 50% to the Licensee. The Licensee is responsible for setting up this split through the distributor’s automated system.

5.2 Publishing Split (Composition): The underlying musical composition shall be owned as follows:

• • 50% Lyricist/Songwriter Share to the Licensee.
  • 50% Composer/Producer Share to the Licensor (EXY COOL BEATS).

5.3 Publisher’s Share: The Licensor (EXY COOL BEATS) retains 100% of the Publisher’s Share. No publishing administration rights are transferred to the Licensee.

6. INDEMNIFICATION AND BREACH

6.1 Any breach of the terms, including exceeding stream limits or unauthorized Content ID registration, will result in the immediate revocation of this license without refund.

6.2 The Licensor reserves the right to seek injunctive relief and monetary damages, including all attorney fees incurred during legal proceedings.

7. GOVERNING LANGUAGE AND DISCLAIMER

In the event of any inconsistency between the English and Thai versions, the English version shall prevail.
