THIS LICENSE AGREEMENT (the “Agreement”) is made effective as of the date of purchase (the “Effective Date“) by and between EXY COOL BEATS (hereinafter referred to as the “Licensor”) and the individual or entity purchasing the license (hereinafter referred to as the “Licensee“).

1. GRANT OF LICENSE AND EXCLUSIVITY

1.1 The Licensor hereby grants to the Licensee an Exclusive, non-transferable right to use the musical composition titled as the purchased Beat (the “Beat”) to create one (1) new musical work (the “New Song“).

1.2 This license is granted for a Permanent and Lifetime term, with no expiration date.

1.3 Upon successful payment, the Licensor shall immediately remove the Beat from the store and cease all further licensing of the Beat to ensure the Licensee’s exclusive rights.Furthermore, the Licensor shall update the Beat’s title and description on all official social media platforms with the status “(SOLD)” to publicly notify that the exclusive rights to the Beat have been acquired by the Licensee.

2. DELIVERY AND FORMAT 2.1 The Licensor shall deliver the Beat in high-quality formats, including:

• • WAV and MP3 audio files.
  • Track Stems (separated audio tracks) for professional mixing and mastering purposes.

3. USAGE RIGHTS AND REVENUE (100% REVENUE TO LICENSEE)

3.1 Unlimited Usage: The Licensee is permitted unlimited audio streams and unlimited social media views across all platforms.

3.2 Revenue Share (Earnings): The Licensee is entitled to receive 100% (One Hundred Percent) of all net revenue and earnings generated from digital streaming and sales of the New Song. The Licensor hereby waives claims to such streaming and sales revenue for the benefit of the Licensee (Royalty-Free for Streaming and Sales Only). 

Note: This does not affect the Licensor’s right to Performance Royalties as defined in Article 5.3.

3.3 Live Performance & Broadcast: The Licensee is granted the right to perform the New Song in for-profit live performances and unlimited radio broadcasts worldwide.

4. OWNERSHIP AND RESTRICTIONS (NOT A FULL BUYOUT)

4.1 Original Ownership: The Licensor (EXY COOL BEATS) retains 100% full ownership and copyright of the original Beat. This Agreement grants a license to use and does not constitute a sale of the Master Copyright. The Licensee shall have no right to resell, sublicense, assign, or transfer the Beat or any rights granted under this Agreement to any third party.

4.2 Content ID Prohibition: The Licensee is STRICTLY PROHIBITED from registering the Beat or the New Song with any automated Content Identification System (e.g., YouTube Content ID).

4.3 Portfolio Preservation: The Licensor reserves the right to maintain the original version of the Beat on official social media channels for portfolio and promotional purposes only.

4.4 NOT A FULL BUYOUT: This Agreement is NOT a Full Buyout. The original work remains in the Licensor‘s portfolio for promotional and archival purposes. Permanent removal of the work from the Licensor’s platforms requires a separate written Full Buyout Agreement.

5. CREDIT AND METADATA REQUIREMENTS

5.1 Backend Registration (Metadata): The Licensee must register the official name “EXY COOL BEATS” as the Producer and Composer on all distribution platforms and copyright registration systems. The Licensee may not remove, alter, replace, or misrepresent the Licensor’s name in any metadata, credits, or copyright records.

5.2 Public Display (Credit): The Licensee should provide credit as 

“Produced by EXY COOL BEATS (Prod. by EXY)” in public descriptions. 

(Note: This is optional for the Exclusive license at the Licensee’s discretion).5.3 Composition Ownership (Writer’s Share): In accordance with international copyright laws, ownership of the underlying composition shall be divided as follows:

• • 50% Lyricist/Songwriter Share to the Licensee (for lyrics and melody).
  • 50% Composer/Producer Share to the Licensor (EXY COOL BEATS).
• IMPORTANT NOTE:The Licensor waives all claims to Streaming and Sales revenue generated from the New Song (as defined in Article 3.2), allowing the Licensee to retain 100% of such income. However, the Licensor retains the right to collect their50% share of Performance Royalties (Writer’s Share) through Performance Rights Organizations (e.g., MCT, BMI, ASCAP) when the work is broadcasted or performed publicly.

5.4 Publisher’s Share: The Licensor (EXY COOL BEATS) retains 100% of the Publisher’s Share. No publishing administration rights are transferred to the Licensee

6. BREACH AND TERMINATION

6.1 Any violation of Article 4.2 (Content ID) or unauthorized claim of ownership of the Beat shall result in the immediate termination of this license without refund.

6.2 The Licensor reserves the right to pursue legal action, including claims for damages and recovery of all legal expenses.

7. GOVERNING LANGUAGE AND DISCLAIMER

In the event of any inconsistency between the English and Thai versions, the English version shall prevail.

This agreement does not constitute legal advice.
