THIS LICENSE AGREEMENT (the “Agreement“) is made effective as of the date of purchase (the “Effective Date“) by and between EXY COOL BEATS (hereinafter referred to as the “Licensor“) and the individual or entity purchasing the license (hereinafter referred to as the “Licensee“).

ARTICLE 1: PRIMARY PURPOSE AND PREMIUM AUDIO QUALITY

1.1 This license grants the Licensee the right to use the audio for Personal Listening and private entertainment purposes ONLY.

1.2 Superior Audio Quality: The Licensee shall receive the High-Fidelity / Uncompressed audio file, providing the full detail, depth, and dynamics of the original studio master. This version differs significantly from standard streaming versions, which are commonly subject to data compression and reduced audio quality.

1.3 This license serves as a direct way to support the artist (EXY COOL BEATS) and ensure the continued creation of high-quality music.

ARTICLE 2: NO COMMERCIAL OR PUBLIC USE

2.1 Prohibited Gains: Any use of the audio for commercial purposes, monetization, public performance, broadcasting, synchronization, or redistribution is STRICTLY FORBIDDEN.

2.2 The Licensee is prohibited from using this audio as background music for videos, social media content, public exhibitions, live performances, or any for-profit or public-facing projects.

ARTICLE 3: OWNERSHIP AND LEGAL PROTECTION

3.1 100% Ownership: The Licensor (EXY COOL BEATS) retains full and exclusive ownership of all copyrights, master rights, neighboring rights, and intellectual property related to the Work.

3.2 This license grants listening rights only and does NOT constitute a sale, transfer, or assignment of any intellectual property rights.

ARTICLE 4: PROHIBITED ACTIONS

4.1 No Modification: Reproduction, remixing, editing, sampling, synchronization, or any modification of the original audio file is strictly prohibited.

4.2 No Resale or Sharing: Distribution, sharing, duplication, or resale of the audio file to any third party, whether free or paid, is strictly prohibited.

ARTICLE 5: TERMINATION

Any violation of this Agreement shall result in immediate termination of the License. The Licensor reserves the right to take legal action and enforce copyright protections to the fullest extent permitted by law.

ARTICLE 6: GOVERNING LANGUAGE AND DISCLAIMER

In the event of any inconsistency between the English and Thai versions, the English version shall prevail.

This Agreement is provided for licensing purposes only and does not constitute legal advice.
