THIS LICENSE AGREEMENT (the “Agreement“) is made effective as of the date of purchase (the “Effective Date“) by and between EXY COOL BEATS (hereinafter referred to as the “Licensor“) and the individual or entity purchasing the license (hereinafter referred to as the “Licensee“).

1. SCOPE OF WORK AND OWNERSHIP

1.1 This license applies to the full musical work, including Lyrics, Melody, and Musical Composition (Beat/Backing Track) (collectively referred to as the “Work“).

1.2 Copyright Ownership: All original copyrights and legal ownership of the Master Recording and 100% of the Publisher’s Share of the Work remain solely and exclusively with the Licensor (EXY COOL BEATS), unless a separate Full Buyout Agreement is executed.

1.3 Song Title:The Licensee has the right to change the song title as deemed appropriate. However, any change shall not affect the original Copyright Ownership of the Licensor, and metadata must follow the requirements in Article 4.

2. USAGE TERMS

2.1 Vocal Requirement: The Licensee is strictly required to record new vocals. Use of the original Guide Vocal for commercial distribution or monetization is strictly prohibited.

2.2 Anti-Claim & Content ID Policy: The Licensee is prohibited from registering the Work with any automated copyright management system (e.g., YouTube Content ID) or filing copyright claims against the Licensor’s original versions on any platform.

2.3 No Resale & Third-Party Inclusion: This license is non-transferable. Reselling, sub-licensing, or assigning these rights to any third party is strictly prohibited.

Furthermore, the Licensee is prohibited from featuring third parties to share in the royalties or ownership of this Work without prior written consent from the Licensor.

In cases where the original Work includes designated sections for featured artists or rap verses, the Licensee may involve a third party for those specific sections. However, the revenue splits (70/30) and ownership remain strictly governed by this Agreement, and no additional revenue or rights shall be granted to such third parties.

3. LIMITED LICENSE SPECIFICS AND REVENUE SHARE

3.1 Term and Limits: This license is valid for five (5) years from the Effective Date, limited to 500,000 monetized streams on Digital Service Providers (DSPs), such as Spotify, Apple Music, Amazon Music, and similar services, and 500,000 combined views across all social media platforms.

3.2 Revenue Split (70/30):All net revenue and royalties generated from digital streaming and digital sales of the Work shall be split as follows:

70% to the Licensor (EXY COOL BEATS) and 30% to the Licensee. The Licensee is responsible for setting up this split through the distributor’s automated system (e.g., DistroKid, TuneCore)

• 70% to the Licensor (EXY COOL BEATS)
• 30% to the Licensee

3.3 Music Video: The Licensee is authorized to produce and release one (1) official music video only.

3.4 Performance & Radio:The Licensee is granted the right to perform the Work in for-profit live performances. Any broadcast royalties collected must be shared according to the 70/30 split specified in Article 3.2.

4. CREDIT AND METADATA REQUIREMENTS

4.1 Backend Registration (Metadata): The Licensee MUST register the official name “EXY COOL BEATS” as the Writer, Composer, and Producer on all distribution platforms and copyright registration systems.

4.2 Public Display (Credit): The Licensee must provide credit as 

“Produced by EXY COOL BEATS (Prod. by EXY)” in all public descriptions, video credits, and social media posts.

4.3 Performance Royalties (Writer’s Share): In all Performance Rights Organizations (PROs), the Writer’s Share shall be registered as:

• 70% to the Licensor (EXY COOL BEATS)
• 30% to the Licensee (Artist)

4.4 NOT A FULL BUYOUT: This Agreement is NOT a Full Buyout. The original work remains in the Licensor‘s portfolio for promotional and archival purposes. Permanent removal of the work from the Licensor’s platforms requires a separate written Full Buyout Agreement.

5. SPECIAL PROTECTIONS

5.1 Instrumental Restriction: The provided Backing Track/Beat is for this specific Work only. Reusing or rearranging the instrumental for any other lyrics or melodies is strictly prohibited.

5.2 License Upgrade: To use the instrumental for a different project, the Licensee must purchase a separate Unlimited Beat License at the current market price.

5.3 Portfolio Right: The Licensor reserves the right to maintain the original version on social media channels as a portfolio until a Full Buyout is completed.

6. TERMINATION AND LEGAL ACTION

6.1 Failure to comply with any terms: including failure to report/share revenue or unauthorized reuse of the Work, will result in immediate termination of this license without refund.

6.2 The Licensor reserves the right: to pursue legal action to the fullest extent of the law to recover damages and legal fees.

7. GOVERNING LANGUAGE AND DISCLAIMER

In the event of any inconsistency between the English and Thai versions, the English version shall prevail.

This agreement does not constitute legal advice.
