THIS LICENSE AGREEMENT (the “Agreement“) is made effective as of the date of purchase (the “Effective Date“) by and between EXY COOL BEATS (hereinafter referred to as the “Licensor“) and the individual or entity purchasing the license (hereinafter referred to as the “Licensee“).

1. Scope of Work and Exclusivity

1.1 This license applies to the full musical work, including Lyrics, Melody, and Musical Composition (Beat), provided with Track Stems for full mixing and mastering.

1.2 Upon successful purchase, the Licensor shall immediately remove the Work from the store. The Licensor will update the status of the Work on all official social media platforms to “(SOLD)” to publicly notify that the exclusive usage rights have been acquired by the Licensee.

1.3 The Licensee acknowledges that all original copyrights and legal ownership of the Work remain solely and exclusively with EXY COOL BEATS until a Full Buyout is negotiated.

2. Usage and Alteration Terms

2.1 Vocal Requirement: The Licensee is strictly required to record new vocals. Use of the original Guide Vocal for commercial distribution is strictly prohibited.

2.2 Lyric Protection: The Licensee is strictly prohibited from altering or changing the original main lyrics provided by the Licensor.

2.3 Ad-libs and Performance: The Licensee is permitted to add Ad-libs, harmonies, or personal vocal designs to the performance, provided they do not conflict with or change the original lyrical structure.

2.4 Third-Party Inclusion: The Licensee is prohibited from featuring third parties to share in the royalties or ownership of this Work without prior written consent from the Licensor.

In cases where the original Work includes designated sections for featured artists or rap verses, the Licensee may involve a third party for those specific sections. However, the revenue splits and ownership remain strictly governed by this Agreement, and no additional revenue or rights shall be granted to such third parties. Such an act is considered a material breach of contract.

2.5 Anti-Claim Policy: The Licensee is prohibited from filing copyright claims or “Content ID” strikes against the Licensor’s original versions.

2.6 No Resale: This license is non-transferable. Reselling or sub-licensing to any third party is strictly prohibited.

3. Unlimited License Specifics

3.1 Term: Permanent / Lifetime agreement.

3.2 Usage Limits: Unlimited Streams and Unlimited Views (YouTube, TikTok, Facebook, etc.).

3.3 Revenue Share (Earnings): The Licensee shall retain 100% of earnings from digital sales and streaming (Royalty-Free).

Note: This clause applies only to sales and streaming revenue and does not affect the Writer’s Share ownership mentioned in Article 5.

3.4 Music Video / Live / Radio: Unlimited rights for production and broadcasting across all media worldwide.

4. Special Protections

4.1 Portfolio Right: The Licensor reserves the right to maintain the original version of the work (marked as SOLD) on social media channels for portfolio and promotional purposes.

4.2 Full Buyout: If the Licensee requires permanent removal of the original version from all platforms, a Full Buyout price must be negotiated separately.

4.3 Content ID Restriction: Registration of the Work with any automated copyright management system is strictly prohibited.

4.4 Instrumental Protection: Rights to the instrumental are restricted to this specific song project only.

4.5 NOT A FULL BUYOUT: This Agreement is NOT a Full Buyout. The original work remains in the Licensor‘s portfolio for promotional and archival purposes. Permanent removal of the work from the Licensor’s platforms requires a separate written Full Buyout Agreement.

5.Ownership and Metadata

5.1 Writer’s Share & Publishing: The Licensor (EXY COOL BEATS) shall retain 100% of the Publisher’s Share. In recognition of the collaborative nature of this Exclusive License, the Performance Royalties (Writer’s Share) shall be registered and split equally as follows:

50% to the Licensor (EXY COOL BEATS) and 50% to the Licensee (Artist). This split applies strictly to performance rights collected by societies (e.g., BMI, ASCAP, MCT) and does not affect the Licensee’s right to retain 100% of streaming and sales revenue as defined in Article 3.3.

5.2 Metadata: In all copyright registration systems, digital distribution backends (e.g., DistroKid, TuneCore), and metadata fields, the Licensor must always be credited as the Original Writer, Composer, and Producer (EXY COOL BEATS). Failure to provide proper credit shall be considered a material breach of this Agreement.

5.3 Song Title: The Licensee has the right to change the song title for their commercial release. However, any such change is for creative and marketing purposes only and shall not affect the Licensor‘s original Copyright Ownership or the metadata requirements specified in Article 5.2.

5.4 Public Display (Credit):The Licensee should provide credit as 

“Produced by EXY COOL BEATS (Prod. by EXY)” in public descriptions.

Note: This is optional for the Unlimited / Exclusive License and is at the Licensee’s discretion.

6. Termination

Any violation—including altering lyrics, adding unauthorized third parties, using the original Guide Vocal commercially, or unauthorized resale—will result in immediate termination of this license without refund. The Licensor reserves the right to pursue legal action to the fullest extent of the law.

7. GOVERNING LANGUAGE AND DISCLAIMER

In the event of any inconsistency between the English and Thai versions, the English version shall prevail.

This agreement does not constitute legal advice.
